“The person named in the submission form (the “User”) warrants that he/she is entitled to submit data to InhibOx vai the drugfinder website and that the User is not in breach of any obligation of confidentiality owed to any third party in doing so.
InhibOx agrees that it shall have no right, title or interest in any data submitted to it by the User via the drugfiinder website and that any results (i.e. lists of compounds generated via the drugfinder service) shall belong to the User although InhibOx expressly retains the right the use such results solely for making improvements to its software and to the drugfinder website and service.
InhibOx shall hold all data submitted by the User in confidence and shall not disclose the same to any third party, except the its employees, agents and advisers. InhibOx’s obligations of confidentiality shall terminate when it can document that the data submitted by the User; (a) was in the public domain at the time it was communicated to InhibOx by the User or has subsequently come into the public domain without any breach by InhibOx; (b) was in InhibOx’s possession free of any obligation of confidence at the time it was communicated to InhibOx by the User or was subsequently communicated to InhibOx by a third party free of any obligation of confidence; (c) was disclosed in response to a valid order by a court or other governmental organisation or as otherwise required by law but only to the extent so required; or (d) has been independently developed by InhibOx without the aid, application or use of any data submitted by a User.” |
